Written to be understood. Where a term affects your money, your data, or your ability to leave, it is stated directly rather than buried.

The agreement

These terms govern your use of ProLedger, provided by ProLedger Labs. By creating an account you accept them. If you are accepting on behalf of a company, you confirm you are authorised to do so.

The service

ProLedger is a web application for accounting and operations: quotations, staged progress billing, delivery notes, retention, payment certificates, job costing, VAT and corporate tax, and the reporting around them.

We add and change features over time. We will not remove something you depend on without notice where we can avoid it.

Trial and billing

New accounts start with a free trial. A payment method is required at sign-up, and unless you cancel before the trial ends, the subscription begins automatically and the card is charged.

Subscriptions are billed monthly or annually in advance, in AED. You can cancel at any time; cancellation takes effect at the end of the period you have paid for, and we do not pro-rate part-months.

If a payment fails we will retry and tell you. Persistent non-payment suspends access to the application.

We may change prices. Existing subscribers get notice before a change affects them, and a price change never applies to a period already paid for.

Your data belongs to you

The records you enter are yours. We claim no ownership of them and we do not use them for anything except providing the service to you.

You can export your data at any time while your account is active. Export it before you cancel — see below.

What happens when you stop paying

Your data is not deleted the moment a subscription lapses. We keep it for a grace period so you can reactivate or export, and we will tell you before anything is removed permanently.

This matters more for accounting software than for most services: your books may be subject to statutory retention requirements in your jurisdiction, and meeting those is your responsibility. Keep your own exports.

Acceptable use

Do not use ProLedger to break the law, to store data you have no right to hold, or to attack the service or other users. Do not attempt to circumvent access controls, licensing, or usage limits.

Accounts are per organisation. Seat limits apply as described in your plan.

Availability

We aim to keep ProLedger available and to keep your data safe, and we take nightly backups. We do not offer a formal uptime guarantee, and we will not pretend otherwise.

Planned maintenance will be announced where practical. Unplanned outages will be fixed as fast as we can.

We are not your accountant

ProLedger calculates what you tell it to calculate. It is a tool, not professional advice.

You remain responsible for the accuracy of your books, for your VAT and corporate tax filings, and for compliance with the rules that apply to your business. Review the figures before you file them.

Liability

To the extent permitted by law, our total liability for any claim relating to the service is limited to the fees you paid in the twelve months before the claim arose.

We are not liable for indirect or consequential loss, including lost profits or lost business.

Nothing here excludes liability that cannot lawfully be excluded.

Ending the agreement

You can close your account at any time. We may suspend or close an account that breaches these terms, or where required by law, and we will explain why unless we are prevented from doing so.

Governing law

These terms are governed by the laws of the United Arab Emirates, and the courts of the UAE have jurisdiction over any dispute.

Changes to these terms

If these terms change materially we will give notice before the change takes effect, and the date at the top will change. Continuing to use ProLedger after that means you accept the new terms.
